Dividend Policy

The Company adopts a residual dividend policy for the purpose of continuing expansion and increasing profitability.

If the Company has any earnings at the end of any given fiscal year, the Company shall use the earnings to cover its accumulated losses in previous fiscal years, pay all taxes pursuant to relevant laws, set aside legal reserve(s), and provide or reserve special reserve(s) in accordance with relevant laws, and then distribute the remaining earnings for accumulated and current dividends for Class A preferred shares. With respect to the rest, if any, together with those undistributed retained earnings in previous years, the Company shall allocate not less than 30% undistributed for the dividends of common shares. The Board shall propose a distribution plan and present it to a meeting of shareholders for approval.

Where the preceding legal reserve amounts to the total authorized capital, this provision shall not apply.

In accordance with the Company's business plan, the principle is to distribute share dividends to retain a necessary amount of capital, and the excess may be distributed in cash dividends. Cash dividends may not be less than 10% of the total dividends to be distributed for the current year.
